Software Development Contracts
Unless your software requirements are minimal, we will generally require you to sign a separate Software Development Agreement (contract) to cover specific jobs. If necessary, Golden Micro can provide you with a complete example contract prior to the production of one specifically tailored to your requirements.
We believe our contracts are fair (they are based upon those produced by the Information Technology Association of New Zealand-ITANZ), and are designed to protect both Golden Micro Solutions Ltd, and you, our client.
In general our standard contracts cover the following issues (amongst others):
* Ownership of the source (programming) code of the new software.
For new software developments, Golden Micro Solutions Ltd generally retains ownership of the software. You are provided with an unlimited, royalty free licence to use the software for your business.
For maintenance development projects (where the client provides the original source code to be modified), the ownership of the software usually remains with the original owner.
* The specifications of the software to be written.
This ensures all parties are agreed upon what functionality the software is to have once completed.
* Copyright and Intellectual Property Rights of the software developed.
These sections cover Golden Micro Solutions Ltd from the situation where a client may wish to resell our software, or provide components of our source code libraries to other (competing) software developers.
* Payment issues, and the way in which variations (i.e. new work or modifications to the specifications) are handled.
